Terms and Conditions

FUZE Media Partners LLC, a Wisconsin limited liability company ("FUZE," "we," "us")
Effective date: November 5, 2026

These Terms and Conditions ("Terms") apply when you use the FUZE Media Partners website or engage FUZE for website design, logo and branding, or social media setup services.

Browsing this website is governed only by Sections 1, 3, 10, 12, 13, and 16 through 19. Services are provided only under a written service agreement or package order that you sign or accept electronically, and that agreement incorporates these Terms.

If a signed service agreement or package order conflicts with these Terms, the signed agreement controls for that engagement.

1. Who we are

These Terms are an agreement between you and FUZE Media Partners LLC, a Wisconsin limited liability company ("FUZE," "we," "us"). FUZE provides website design, logos and branding, and social media setup for small businesses. Contact: contact@fuzemediapartners.com.

2. Our services

Services are described on our website and in your proposal, package selection, or written scope. Scopes, timelines, and fees are confirmed in writing before work that is billed under a package or project begins. Ranges shown on the website help planning; they are not a binding quote until confirmed in writing.

3. Accounts, forms, and communications

You agree to provide accurate contact and project information. You are responsible for materials you upload or share (files, logos, copy, photos) and for having the right to use them. We may contact you by email, phone, or chat about your inquiry or project.

4. Fees, contracts, and renewals

Fees, billing schedule, and contract length (including 6-, 12-, or 24-month agreements where offered) are set out in your package order or service agreement. Longer-term pricing, if shown, applies only when you enter that term. Unless your agreement says otherwise, fees are due as invoiced.

Your term ends on the date in your service agreement. If neither party gives notice, service continues month to month at the then-current monthly rate, and you may cancel at any time with 30 days' written notice (email to contact@fuzemediapartners.com is enough). Any multi-month renewal requires your separate written or initialed agreement. We will not raise your price during a paid term. For month-to-month service, we will give at least 30 days' email notice of any price change.

5. Your materials

You keep ownership of logos, photos, trademarks, text, and other materials that existed before your project and that you supply to us ("Client Materials"). You grant FUZE a limited license to use Client Materials to perform and host your project and, only with your written approval, to show your project in our portfolio.

6. FUZE-owned leased assets

Unless a signed agreement expressly assigns ownership to you:

(a) Websites, designs, code, templates, logos and brand marks created by FUZE, and domain names registered by FUZE for your engagement ("Leased Assets") are owned by FUZE (as defined above).

(b) During your paid term and any extensions, you receive an exclusive (as to FUZE-created logos and your domain), non-transferable lease to use the Leased Assets for your business for your contract term and any extensions, as we deliver and host them under the agreement. They're built and hosted on FUZE's systems, so the Leased Assets themselves cannot be exported or moved to another provider or owner, except through a buyout under Section 6(e). Your Client Materials and project content remain yours and may be exported as described in Section 15.

(c) No work-for-hire relationship or assignment to you is created by payment alone.

(d) Client Materials incorporated into Leased Assets remain yours. Domains FUZE registers for your project are held in FUZE's account during your term. A domain you already owned stays yours.

(e) Buyout: You may purchase the Leased Assets (or any of them, such as your logo or domain) at the buyout price in your service agreement, after which we will transfer them to you in writing.

(f) You may not sell, sublicense, or transfer Leased Assets, or claim ownership of FUZE's tools, frameworks, or methods.

Portfolio and process assets that are not unique to your brand (for example, internal templates FUZE reuses) stay with FUZE in all cases.

IP AND LEASE ACKNOWLEDGMENT. YOU ARE LEASING, NOT BUYING. The website, the logo(s) FUZE designs for you, and the domain name(s) FUZE registers for you are owned by FUZE and are leased to you for your contract term and any extensions. When your lease ends, they remain FUZE property unless you buy them out under Section 6(e). Your own pre-existing materials remain yours. YOUR SERVICE AGREEMENT INCLUDES AN IP AND LEASE ACKNOWLEDGMENT THAT YOU MUST INITIAL.

7. Hosting, domains, and access

Where FUZE hosts or manages a website or domain as part of your package, access is provided through FUZE's systems for the active term. Domain registration fees charged by third-party registrars, platform fees, and similar third-party costs may be passed through or billed separately as stated in your agreement. We do not guarantee uninterrupted hosting; we will use reasonable efforts to keep sites available.

8. Revisions and acceptance

Revision rounds and turnaround times follow your package or written scope. Deliverables are accepted when you approve them in writing or 10 business days after delivery if you have not sent written revision requests within scope. Requests outside the agreed scope may be quoted separately.

9. Client responsibilities

You will provide feedback, approvals, and content on the schedule we agree. Delays on your side may extend timelines. You are responsible for the accuracy of business claims, prices, and legal statements you ask us to publish.

10. Third-party services

We may use third-party tools to deliver services and run this website, including our website platform (Duda), forms and uploads (Tally), live chat (Tidio), email, booking, and cloud file storage (Dropbox). Their terms also apply. Pass-through costs, when any, are disclosed in your order or agreement. We are not responsible for outages or policy changes by those providers.

11. Confidentiality

Each party will keep confidential business information received from the other and use it only for the engagement, except for information that is public, independently developed, or required to be disclosed by law.

12. Warranties and disclaimers

We'll do careful work, but we can't promise specific business results.

We will perform services in a professional and workmanlike manner. If a deliverable does not materially match the agreed scope, tell us within 30 days of delivery and we will correct it; that correction is your remedy.

OTHERWISE, SERVICES AND THE WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SITE OR DELIVERABLES WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT THEY WILL ACHIEVE ANY PARTICULAR BUSINESS RESULT.

13. Limitation of liability

EXCEPT FOR A PARTY'S FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT, ITS CONFIDENTIALITY OBLIGATIONS, OR ITS INDEMNITY OBLIGATIONS, EACH PARTY'S TOTAL LIABILITY IS LIMITED TO THE FEES PAID OR PAYABLE UNDER THE APPLICABLE AGREEMENT IN THE 12 MONTHS BEFORE THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES. THIS DOES NOT LIMIT YOUR OBLIGATION TO PAY FEES OWED.

14. Indemnity

You agree to indemnify FUZE against third-party claims arising from Client Materials, content you ask us to publish, or your misuse of Leased Assets, except to the extent caused by FUZE's negligence or willful misconduct.

FUZE will indemnify you against third-party claims that deliverables created by FUZE (excluding your materials and third-party components you select) infringe a U.S. copyright or trademark.

The indemnified party will give prompt notice, allow the indemnifying party to control the defense, and reasonably cooperate. No settlement admitting fault without the indemnified party's consent.

15. Suspension, termination, and transition

(a) We may suspend services for non-payment after at least 10 days' email notice, or immediately for unlawful content or security risk.

(b) Either party may end an agreement as its written terms allow, or for material breach not cured within 30 days of written notice.

(c) End of term. We will send written notice (email is enough) at least 30 days before your term ends, stating the end date, renewal or buyout options and prices, and how to get your content. When your agreement ends: (1) we will keep your website live for a 30-day transition period if your account is paid up; (2) within that period, on request, we will provide your content (text, images, files you supplied, and form data) in standard formats; (3) you may buy out any Leased Asset, including your domain and logo, under Section 6(e), and if you do we will transfer it with the domain authorization code; (4) we will not reassign your domain or logo to another business for at least 90 days; and (5) after the transition period we may take the site down; we retain and then delete project data on the schedule in our Privacy Policy.

(d) Fees owed for work performed survive termination. Sections 5, 6(a)-(c), 11, 12, 13, 14, and 18 survive.

16. Privacy

Our Privacy Policy, available at /privacy, explains how we handle personal information and is part of these Terms.

17. Changes to these Terms

We may update these Terms by posting a new version on this page with a new effective date. For active paid agreements, material changes do not apply to your current paid term without your consent, except as required by law.

18. Governing law and venue

Wisconsin law governs these Terms, without regard to conflict-of-law rules. Any dispute will be brought only in the state or federal courts located in Milwaukee County, Wisconsin, and both parties consent to that jurisdiction, except that either party may use small claims court where eligible. If your signed agreement names a different governing law or venue, that agreement controls for that engagement.
